Open Source Health Announces Closing of Private Placement and Debt Settlement

Toronto, Ontario, Canada – June 13, 2016: Open Source Health Inc. (CSE:OSH), (Frankfurt:0OS), a cloud based precision medicine platform that puts control into the hands of women to educate, advocate and collaborate on their own healthcare is pleased to announce that it has completed a private placement for gross proceeds of $170,000 (the “Offering”) through the issuance of 1,133,333 units (the “Units”) of the Company at a price of $0.15 per Unit. Each Unit is comprised of one common share (a “Common Share”) and one common share purchase warrant (a “Warrant“). Each Warrant entitles the holder thereof to acquire one additional Common Share of the Company exercisable for a period of 24 months from the closing of the Offering at an exercise price of $0.30 per Common Share.

In connection with the Offering, the Company has agreed to issue 250,000 Common Shares to RAMPartners S.A. (the “Agent”) for providing capital raising placement agent consulting services pursuant to a Capital Raising Placement Agent Agreement entered into between the Company and the Agent.

In addition, the Company also announces that it has agreed to settle an aggregate of $7,100.68 of indebtedness owed to an arm’s length creditor through the issuance of 47,338 common shares in the capital of the Company at a deemed price of $0.15 per common share.

All securities issued are subject to a hold period until October 7, 2016 pursuant to applicable securities laws.

(CSE:OSH), (Frankfurt:0OS), a cloud based precision medicine platform that puts control into the hands of women to educate, advocate and collaborate on their own healthcare is pleased to announce the launch of the myAva Precision Medicine Platform with it’s first cohort of women in Atlanta, GA.

“After 2 years of development we are finally set to deliver precision medicine to women with PCOS” says Sonya Satveit, CEO of Open Source Health Inc. “By providing an in-depth molecular insight of each woman, myAva will help achieve a new understanding of PCOS and has the potential to provide precision treatment programs customized to each woman’s unique molecular makeup.”

OSH has partnered with Medici Medial Arts – Center for Integrative Medicine and will work with their integrative healthcare team to deliver precision medicine to women in the Atlanta area.

The first use case for the myAva Precision Medicine platform is to support PCOS Precision Medicine by creating “digital version of each woman” based on her molecular makeup, biometric data, clinical evidence combined with the latest scientific knowledge. This digital version of each woman will contain molecular level information such as genetic information, blood proteins and metabolites, gut and vaginal microbiome, vital signs and biometric data collected from wearable technology (e.g., heart rate, activity levels, sleep patterns), self-reported data such as quality of life and environmental conditions. This data will be integrated and analyzed using computational biology approaches cross-referenced with the latest scientific and clinical findings to objectively characterize health status and to identify potential transitions from health to disease using various molecular metrics. Participants will receive regular analysis and consultation with a healthcare professional to interpret data and discuss options to maintain a healthy state and/or to match therapy to the particular disease state they may have or be trending towards. myAva will produce a personalized health dash board that highlights actionable items and tracks progress towards optimal health in real time.

The myAva platform will be offered to medical clinics that focus on women’s health on a “per patient” subscription basis. myAva will integrate into the current EHR (Electronic Health Record) systems in use by the clinic effectively adding precision medicine to the installed base of EHRs.

Additional revenue from product and service sales and a percentage of all provider billings through the system are also included in the revenue model. OSH estimates revenue in the $2,000.00 – $3,000.00 USD per patient annually. OSH expects each clinic will be able to support 3,000 to 5,000 PCOS patients annually using the myAva platform. There are 7 million women with PCOS in America today with global prevalence rates affecting from 10% – 20% of women. For example India is experiencing some of the highest prevalence rates today exceeding 20%.

OSH plans to add additional clinics later in 2016.

Dr. Gersh, a Board Certified OB/GYN also has the distinction to have graduated from the prestigious Fellowship in Integrative Medicine at the University of Arizona School of Medicine. Created by Andrew Weil, MD in 2000, the Fellowship in Integrative Medicine has achieved international recognition as the leading integrative medical education program in the world.
Dr. Gersh has received her education and training at the most prestigious institutions. Her undergraduate degree was obtained at Princeton University where she graduated in only three years. Open Source Health Announces $5 million Convertible Debenture Financing

Toronto, Ontario, (October 17, 2014) – Open Source Health Inc. (CSE:OSH) (the “Company”) a cloud based integrative healthcare platform that puts control in the hands of women to Educate, Advocate and Collaborate on their own healthcare is pleased to announce that it intends to complete a private placement of a minimum of $1 million and up to a maximum of $5 million of secured convertible debentures (the “Debentures”). Each Debenture issued by the Company will have a principal amount of $1,000 (the “Principal Amount”). The Debentures will bear interest on the Principal Amount at the rate of 12% per annum and will have a term of 36 months, expiring on the date that is 36 months from the date of closing of the Debentures. Each Debenture is convertible into Common Shares at $0.50 per Common Share. The Company may redeem the Debentures on no less than 30 days’ notice in the event that the common shares of the Company are traded on Canadian Securities Exchange at a price exceeding $1.00 per share for twenty (20) consecutive trading days.

For each $1,000 of Debentures purchased, the purchaser will also be issued 1,000 common share purchase warrants (each, a “Warrant”). Each Warrant will entitle the holder thereof to acquire one common share of the Company for a period of 24 months after the closing of the Debentures at a price of $0.75 per common share.

The proceeds will be used for the Company’s working capital purposes and to maintain the Company’s existing operations and activities.

The Offering will be made available by way of private placement exemptions primarily in the United States and may be offered in other jurisdictions where they can be issued, exempt from any prospectus, registration or other similar requirements. The Offering is subject to a number of conditions including receipt of all necessary corporate and regulatory approvals, including the approval of the Canadian Securities Exchange. Open Source Health Issues Securities to Settle Debt

Toronto, Canada – September 12, 2014: Open Source Health Inc. (CSE:OSH) (the “Company”), a cloud based patient engagement system that puts control in the hands of women to Educate, Advocate and Collaborate on their own healthcare, is pleased to announce that it has entered into a debt settlement agreements with arm’s length creditors (the “Creditors”) providing for the settlement of an aggregate of $250,000 of indebtedness through the issuance of 500,000 units (the “Units”) at a deemed price of $0.40 per Unit and 250,000 warrants (each, a “Warrant”) at a deemed price of $0.20 per Warrant. Each Unit consists of one common share (a “Common Share”) in the capital of the Company and one Warrant. Each Warrant will entitle the holder thereof to purchase one Common Share at a price of $0.50 for 36 months from the date of issuance of the Warrant.

In connection with the debt settlement an officer of the Company has arranged to loan 500,000 free-trading Common Shares to one of the Creditors in exchange for 500,000 Warrants.

250,000 Warrants will be issued to Pilkington Capital Corporation (“Pilkington”) in connection with the provision of a guarantee. Pilkington is a company controlled by Mr. Gary Bartholomew, Chairman of the Company, resulting in the issuance of the 250,000 Warrants being a “related party transaction” as defined in Multilateral Instrument 61-101 – Protection of Minority Security holders in Special Transactions (“MI 61-101”). The portion of the debt settlement involving Pilkington is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 due to the fact that the Common Shares are listed on the Canadian Securities Exchange and the issuance of the 250,000 Warrants represent less than 25% of the market capitalization of the Company. A material change report will be filed less than 21 days before the closing date of the debt settlement. This shorter period is reasonable and necessary in the circumstances to allow the Company to improve its financial position by reducing its accrued liabilities.

A new report from PricewaterhouseCoopers’ Health Research Institute indicates that savvy new companies will shake up the healthcare industry as it shifts towards a technology-enabled, consumer-facing model.

Vaughn Kaufmann, the principle at PwC’s Health Industries has been quoted as saying, “Soon, healthcare will have its own Amazon.com-style, iconic, new economy brands.”

While many companies are competing for a piece of the 3 trillion dollar industry, Kaufmann predicts that those companies that are better serving specific niches will be among those that emerge triumphant.

Tracking can affect someone’s overall approach to health

Why do people go to the trouble of tracking health data, for themselves or for someone they care for? A recent study conducted by The Pew Internet & American Life Project says it’s because people get results. Of the U.S. adults that track health indicators, using memory, paper, technology or a combination:

  •  46% say that this activity has changed their overall approach to maintaining their health or the health of someone for whom they provide care.
  • 40% say it has led them to ask a doctor new questions or to get a second opinion from another doctor.
  • 34% of trackers say it has affected a decision about how to treat an illness or condition.

In all, 63% of trackers agree with at least one of those statements of impact.

Tracking has had a more significant impact on people living with chronic conditions

The same study concluded that of  “health trackers” living with 2+ conditions:

  • 56% say it has affected their overall approach to maintaining their health or the health of someone they help care for, compared with 40% of trackers who report no chronic conditions.
  • 53% say it has led them to ask a doctor new questions or to seek a second opinion, compared with 33% of trackers with no chronic conditions
  • 45% say it has affected a decision about how to treat an illness or condition, compared with 25% of trackers with no chronic conditions.

Over half of cell phone owners in the U.S. say that they own a smartphone. This translates to 45% of all American adults. Recent research conducted by The Pew Internet & American Life Project indicates that 52% of smartphone owners have looked up health information on their phone. Youth, those with a higher level of education, a higher-income and those that own a smartphone are all more likely to use their cell phone to look for health information. Each of these observations holds true under statistical analysis isolating each factor.

In other words, it is not simply that smartphone owners are likely to be younger than other American adults and both groups are likely to use their phones to look up health information. Each characteristic has an independent effect on mobile health information consumption.

New research from The Pew Internet & American Life Project, an initiative of the Pew Research Center, shows that 35 percent of U.S. adults say they have used the internet to try to figure out what medical condition they or another may have. The study refers to those who searched for answers on the internet as “online diagnosers.”  Of this group, fifty-three percent of online diagnosers talked with a clinician about what they found online. This includes searches related to serious conditions, general information searches, and searches for minor health problems.

The study highlights that many U.S. adults have now added the internet to their personal health toolbox, helping themselves and their loved ones better understand what might be ailing them. Open Source Health is committed to bridging the gap between online health seekers and current offerings.

  • another 13 percent say they began at a site that specializes in health information, like WebMD
  • 2 percent say they started their research at a more general site like Wikipedia

Toronto, ONTARIO – January 27, 2014 – Open Source Health Corporation (“OSH” or the “Company”) is the first cloud based integrated healthcare platform for women that allows women to proactively take control of their own healthcare. OSH is pleased to announce that it has closed private placement financings for total gross proceeds of $1,218,500 (the “Offering”).

“The response has been phenomenal,” said Sonya Satveit, CEO of Open Source Health. “The OSH vision of helping women to orchestrate their own wellness by taking a pro-active approach to their healthcare has been met with a great deal of enthusiasm. It resonates with people – and as a result we’ve seen an overwhelming interest from the Health IT and patient communities, as well as from the financial sector.”

 

The Offering consisted of an aggregate of 2,437,000 units of the Company (“Units”) at a purchase price of $0.50 per Unit. Each Unit consists of one common share and one common share purchase warrant exercisable at $0.60 for a period of two years from the date of issuance.

On December 10, 2013, OSH and Sunshine Capital Corporation (“Sunshine”) entered into an agreement of purchase and sale whereby Sunshine will acquire 100% of the shares of OSH (the “Transaction”). Sunshine has also applied to list on the Canadian Securities Exchange (“CSE”). Sunshine held a shareholders’ meeting on October 15, 2013 to approve, among other things, a name change to Open Source Health Inc. In connection with this proposed Transaction, each OSH common share will be acquired by Sunshine for one Sunshine common share and one half of a share purchase warrant of Sunshine exercisable at $0.85 for a period of one year from the date of the completion of the Transaction. The outstanding warrants and options of OSH will also be exchanged for Sunshine warrants and options on a one-for-one basis. Upon completion of the Transaction, Open Source Health Inc. will be a public company listed on the CSE and the former OSH shareholders will hold approximately 88.47% of its outstanding shares.

The net proceeds of the Offering will be used for product development, sales and marketing, acquisition costs and general corporate purposes.
