Using the openEMR platform to support the PCOS project within the Clinic will provide the following functionality:

  • Patient information and records viewable electronically and stored in the cloud
  • HIPPA compliant
  • Practice management for the clinic
  • Intrface to the clinics current insurance and billing system,
  • ePrescribing,
  • Ordering lab tests electronically,
  • Clinician scheduling and appointment calendar for all Patient visits
  • Coordinated care to support each women’s individual integrated health care program

Specifically, the myAVA platform will contain the full patient record including the full genomic sequencing and analysis, all molecular analysis; including proteomic, metabolomics, micro-biomics. Molecular profiling combined with the patient medical record, for the first time, provides detailed, unique insight which will inform the care of each PCOS patient.

A demo login has been created for viewing the production version of our functioning myAVA platform. The first clinic using the myAVA platform is Medici Medical Arts in Atlanta, GA and they will use the platform to onboard the first PCOS patients located close to their clinic. The myAVA platform is used to support personalize and integrative health in a clinical environment and we will evolve the platform with direct feedback from the Providers and Patient and solving the scaling issues for personalized and integrative health delivery. Additional clinics will be added in 2016 as we expand the program for PCOS patients across the USA to support as many of the 7 million women with PCOS as possible.

Open Source Health Provides Update to Non-Brokered Private Placement

Toronto, Canada – October 26, 2015: Open Source Health Inc. (CSE: OSH) (the “Company”), a cloud based patient engagement system that puts control in the hands of women to Educate, Advocate and Collaborate on their own healthcare, wishes to announce that further to its news release dated July 10, 2015, the previously announced non-brokered private placement of units (the “Units”) for gross proceeds of $250,000 is to be amended to closing of $132,055.00

Each Unit will consist of one common share (“Common Share”) in the capital of the Company and one common share purchase warrant (a “Warrant”), each Warrant entitling the subscriber to purchase an additional Common Share for a period of twenty-four (24) months from the date of issuance at a price of $0.35 per Warrant. The Offering will be subscribed for by Pilkington Capital Corporation (“Pilkington”), a company controlled by Mr. Gary Bartholomew, a director and Chairman of the Company and Ms. Sonya Satveit, a director, President and CEO of the Company.

The participation by Pilkington and Ms. Satveit in the Offering constitutes a “related party transaction” as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Offering is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of securities being issued to the related party nor the consideration being paid by the related party will exceed 25% of the Company’s market capitalization. A material change report in respect of the related party transaction will be filed less than 21 days before the closing of the Offering due to the Company’s immediate need to address its financial situation.

Proceeds raised from the Offering will be used for business development, corporate marketing initiatives, project specific infrastructure and general working capital purposes.

Adam Perlman, MD, MPH, FACP, is an Associate Professor of Medicine and works within the Duke University Health System as Executive Director of Duke Integrative Medicine and in a leadership role as Associate Vice President for Health and Wellness. He has responsibility for Duke’s Health and Wellness portfolio, including Duke Integrative Medicine, the Duke Diet and Fitness Center as well as the Duke Health and Fitness Center. In his role, he is contributing to the work of healthcare transformation within and beyond the University System. Additionally, he is the Founder and Director of the Leadership Program in Integrative Healthcare at Duke University. Since assuming his position in 2011, Dr. Perlman has worked to transform the business model for many aspects of Health and Wellness, including such changes as adding insurance coverage as well as a concierge Integrative Primary Care practice at Duke Integrative Medicine.

Dr. Perlman is past Chair for the Consortium of Academic Health Centers for Integrative Medicine, comprised of over 60 leading academic medical centers around the country. Prior to his work with Duke, Dr. Perlman was Executive Director for the Institute for Complementary and Alternative Medicine (ICAM) at the University of Medicine and Dentistry of New Jersey (UMDNJ), where he was Associate Professor of Medicine. He held the UMDNJ Hunterdon Endowed Professorship in Complementary and Alternative Medicine and was Chair for the Department of Primary Care within the School of Heath Related Professions, overseeing the Physician Assistant and Respiratory Care Programs.

Dr. Perlman served as Director of Integrative Medicine for the Saint Barnabas Health Care System and was founding Medical Director for the Carol and Morton Siegler Center for Integrative Medicine, in Livingston, New Jersey. He had primary responsibility for developing and overseeing the Complementary & Alternative Medicine Program, including the Integrative Medicine Center and the Center for Health and Wellness, for the largest healthcare system in New Jersey.

Dr. Perlman received his BA from Tufts University and his MD from Boston University School of Medicine, completing residencies in Internal Medicine and Preventive Medicine as well as a General Internal Medicine Research Fellowship at Boston Medical Center. All common shares issued in connection with the shares for debt transaction are subject to a four month statutory hold period.

In addition, in order to facilitate the ongoing financing of the Company, Ms. Sonya Satveit has entered into automatic securities disposition plan in accordance with the guidance provided in OSC Staff Notice 55-701, pursuant to which up to 5,000,000 Common Shares and 2,500,000 Common Share purchase warrants (“Warrants”), each Warrant entitles the holder to acquire a Common Share on or before January 31, 2016, at an exercise price of $0.85 per Common Share, may be automatically sold in block trades, and her Warrants sold privately. All trades will be reported on SEDI in the normal course. Open Source Health aims to change the course of Women’s Health with an “At-Home” Hormone Sensor

(CSE:OSH), a cloud based integrative healthcare platform that puts control into the hands of women to educate, advocate and collaborate on their own healthcare is pleased to announce the development of an advanced “At- Home” device for measuring hormones through a simple finger-prick blood test. The hormone sensor will be priced around $200.00 and each “one-time use” bio-sensor chip will perform up to 5 tests at a cost of $50.00, providing significant cost savings to the healthcare system. This technology supports the trend whereby point of care is shifting from the clinic to the home.

“This sensor would have provided me with critical personal health information and would have changed the course of my life many times over,” states Sonya Satveit, Founder and CEO of Open Source Health Inc. “The standard of care today has women waiting for weeks to receive test results which are only a snapshot of one moment in time. It is crucial for patient-centric healthcare that women are provided with an alternative solution where they can have accurate, affordable and real-time results delivered to their smartphone and put in context of their overall health.”

The hormone sensor uses the latest innovations in nanotechnology, hyper-spectral sensing technology and advanced protein synthesis and has been in development for almost two years. A single drop of blood into the hormone sensor connects to a smartphone and provides immediate results, which are uploaded to the OSH cloud-based platform for analysis by the women’s healthcare team.

Open Source Health has entered in an exclusive joint venture agreement with the option to acquire 100% of the Intellectual Property (“IP”) owned by the joint venture company (“JV”). Open Source Health Obtains Loan

Toronto, Canada – November 26, 2014: Open Source Health Inc. (CSE: OSH) (the “Company”), a cloud based integrative healthcare platform that puts control in the hands of women to educate, advocate and collaborate on their own healthcare, is pleased to announce that it has received a loan of $75,000 from Pilkington Capital Corporation, a company controlled by the Chairman of the Company. Proceeds of the loan will be used to fund marketing and working capital. The loan is payable six months from the date of issuance and bears interest of 15% per annum. If repayment is not made at maturity interest is 20%. Pilkington Capital Corporation will receive 150,000 common share purchase warrants (a “Warrant”) in the capital of the Company in connection with the loan.

Each Warrant will entitle the holder thereof to purchase one common share of the Company at a price of $0.50 for a period of 36 months from the date of issuance of the Warrant.

Mr. Bartholomew is the Chairman and a director of the Company. The Company is relying on exemptions from the formal valuation and minority shareholder approval requirements of Multilateral Instrument 61-101 based on financial hardship and the fact that the common shares of the Company are listed on the Canadian Securities Exchange. A material change report in connection promissory note will be filed less than 21 days before the closing of the transaction. This shorter period is reasonable and necessary in the circumstances due to the fact that the Company requires the funds to continue operations.

The three main components of preventative and integrative healthcare are to educate, advocate and collaborate. The OSH platform combines all three functions:

    1. Educate: Through interaction with the patient, the Artificial Intelligent and Learning Engine curates a personalized health portal for each patient individually. It is constantly learning and updating based on the patient’s interests, health records, lab results, treatment plans and results.

      Status:The core underlying platform is installed and being tested, along with the interface, to over 75,000 medical journals with millions of peer reviewed medical research articles; the interface to the internet where website, blogs, and articles are posted; and the connections to molecular databases that describe interactions between conditions, symptoms and diseases. The algorithms for intelligent curation is in development and will be entering testing in Q1 2015. It is this algorithm that creates a highly accurate health news portal for each patient.

 

    1. Advocate: In a market that is disease-centric, people do not know how to take control of their own health and practice prevention. The OSH platform incorporates an advocacy model to break down each step of the patient’s healthcare journey and facilitate the next steps. The more a patient participates, the more engaged she becomes in her health, resulting in improved health and lower healthcare costs.

      Status: OSH is working with leading insurance and actuarial companies to use evidence-based results on the steps of prevention that lead to a healthy patient and lower healthcare costs. This is driven from a fully secured and HIPPA complaint the Electronic Health Record (EHR)- a system used by the patient and the provider to store all medical information, billing processes, access to prescription and laboratory testing networks. Currently an open source EHR platform is being adapted to accommodate the specialized needs of preventative and integrative health practices. Release to beta test will be Q2 2015. The Patient owns their own data and health information within the EHR platform.

 

  1. Collaborate: Through the platform, the patient has 24/7 access to her team of healthcare professionals. The key is making this convenient to ask a question or get a second opinion by facilitating a variety of options, such as telemedicine consult, instant messaging and email. The patient selects her own health care team of professionals from a variety of specialties that support women’s health. She can also create a private social network of other patients and family for support or to assist them to advocate.
    Status: The Collaboration technology was released as an open source software code to the market late September at the Health 2.0 Conference and demonstrated live on the main stage. Several clinics and medical centers around the USA are reviewing the use of this technology, as it offers a low cost and fast implementation solution that will disrupt the current multi-million dollar solutions currently being offered in the market. It is expected that OSH will begin billing consulting services for its use. Development continues to improve the open source code and the commercial offering to be used in the Open Source Health Platform. OSH believes that this open source approach will change the face of health delivery by making it accessible and available to everyone.

 

Other Activities Update:

    1. Beta Clients and Market Launch: Scheduled for launch in mid-2015, the platform will be focused on women’s hormone health in conjunction with a number of women-centric clinics. The women’s health platform has been named myAVA. OSH is currently engaged with clinics in the USA regarding adopting the platform to immediately deliver care to their female patients by adding their physicians to the system, which will create immediate recurring transactional revenue at launch.

 

    1. Marketing Launch: A daytime daily TV show centered on women’s health issues is being produced in Hollywood. OSH will partner with the producers of the show to integrate the myAVA platform into the interactive content engagement technology tied to the show. This TV show, which will air daily to a potential viewing audience of up to 14 million women, will act as the lead generation to the myAVA platform. The first season will consist of a series of 30 shows that will air in the second half of 2015 in the USA.     1. Patent Activity: OSH has 3 patents being prepared for filing with the International Patent office around its core technology which are expected to be filed in Q1 2015.

 

    1. Management Team: OSH has assembled one of the top management teams in Digital Health in the USA and Canada and will continue to add to the team as the Company moves towards commercialization of its proprietary technology in 2015.

 

  1. Financing: OSH is currently marketing a $5M private placement in the USA and Canada and due diligence is underway with multiple investor groups.
